Angelic Funding Terms of Use
By using the service you agree to the following terms of use:
By using the Angelic Funding service ('the service'), which requires making payment of £50 to post your proposal ('the posting fee'), you ('the client') agree to the circulation of your proposal to Angelic Funding s and Angelic Funding s partners' investor network/s. You agree that Angelic Funding may remove a proposal or edit the content of a proposal at Angelic Funding s discretion and where reasonably necessary. In the event of such removal or edit, Angelic Funding will notify the client by email. Your proposal will be circulated to Angelic Funding s networks as described above for a period of 3 months. You may renew your proposal posting at a cost of £50 per 3 months thereafter. Angelic Funding makes no guarantee of a successful outcome of funding for the client and the posting fee is non-refundable.
The Angelic Funding offers the following services, collectively known as the Service:
Forming an Investment Proposal in conjunction with the client (from completing the Venture Form).
Distributing the Investment Proposal to Angelic Funding investor networks.
Forwarding the clients contact email address and or telephone number (please let us know if you wish both to be sent or just your email address) to interested parties.
The Service is available to ventures seeking funding and which are open to viewing by a variety of financial sources (angel investors, bank financing, debt financing, loans, government financing, private equity, venture capital, others)
Angelic Funding does not claim to be a counsellor, securities broker-dealer, investment adviser or placement service. This service does not constitute an undertaking by Angelic Funding to offer for sale or to sell any securities or other interests of the Client.
Angelic Funding
It is not Angelic Funding s position to suggest approval terms, pre-approve, or approve a Client directly. All negotiations, commitment for approval and an approval are to be directly from the sources of financing to the Client, through direct interaction. Angelic Funding makes no representations or warranties either expressed or implied as to a successful introduction to occur for the Client and Angelic Funding does not provide any guarantees or assurances on the completion of the funding process for the Client.
Angelic Funding charges a one-time posting fee of £50 for the three month listing service. This fee is non refundable and there are no other charges for the posting service. The client may choose to renew the posting after the three months by paying the posting fee to extend if so desired.
Upon receipt of funding through Angelic Funding , the client agrees to pay Angelic Funding a 5% cash success fee.
Any investment resulting from the use of Angelic Funding will be strictly on a negotiated basis between the Client and the Investor. Angelic Funding is not responsible for any legal consequences of the Client's negotiation with an Investor because of Angelic Funding s involvement with either party and hereby encourages the Client to seek legal and other professional counsel prior to entering into any transactions with prospective Investors.
Angelic Funding will not make any investigation of the qualifications of the Client, or of any persons introduced to the Client by Angelic Funding . The Client should make its own investigation of contacts resulting from Angelic Funding 's service.
Angelic Funding not responsible for accuracy of client information. The Client agrees to immediately notify Angelic Funding if any of the Clients representations or statements alters or ceases to be true.
The Client is fully able to seek other sources of funding itself. This means that Angelic Funding does not require exclusivity of the Clients funding search.
The Client agrees to comply with any applicable Country and Provincial laws including the Securities and Exchange Commission (SEC) in the USA, the Financial Services Authority (FSA) in the UK. The Client agrees to fully indemnify, defend and hold harmless Angelic Funding from any and all claims of any kind, including but not limited to a claim resulting from an actual or potential investor as a financial partner in the Client's business or a claim or suit resulting from the Client's non-compliance with the law, arising out of the Client's execution of this Agreement, the Client's breach of its duties contained herein, Angelic Funding 's introduction of any particular investor to the Client, or third parties' access to Angelic Funding through online computer services, including the Internet.

Important Investor Information
Any investor who uses Angelic Funding Ltd as an introducer for locating private equity placement opportunities must consider themselves sophisticated enough to not require the protection afforded by the relevant governmental regulatory bodies and consider themselves defined as such by the guidelines in effect in their place of residence. The information is directed only at persons who have valid certification that they are 'High Net Worth Individuals', or 'Sophisticated Investors', as defined by the Financial Services & Markets Act 2000, or are non-UK residents (in which case they must act in conformity with any relevant laws in their country of residence).
High Net Worth Individual (HNWI)
An individual with an audited annual income of not less than £100,000 or who has held, throughout the financial year immediately preceding the date on which the certificate is signed, net assets to the value of not less than £250,000. In determining an individuals net assets, no account shall be taken of the primary residence or any loan secured on that of not less than £250,000. In determining an individuals net assets, no account shall be taken of the primary residence or any loan secured on that residence, any rights under a qualifying contract of insurance, or any benefits which are payable on the termination of service or on death or retirement and to which the individual or any of his dependents are entitled.
Sophisticated Investor (SI)
An individual who is considered by a third party authorised by the Financial Services Authority as sufficiently knowledgeable to understand the risks associated with investing in unquoted companies. As such, you are likely to satisfy one or more of the following:
You have made previous investments in the unquoted company sector.
You have a long history of investing in a range of financial instruments.
You are an authorised person.
You work in a capacity where you are required to have a thorough understanding of investing and financial markets.
